1. Agreement to Terms

These Terms of Use ("Terms") constitute a legally binding agreement between you, whether acting in your individual capacity or on behalf of a company, organization, or other legal entity ("you," "your," or "User"), and Suiiz Inc. ("Company," "we," "us," or "our"), governing your access to and use of our website located at https://suiiz.com, together with our mobile applications, software, APIs, digital products, platforms, communications, content, features, and all other services, products, technologies, functionalities, integrations, and offerings, whether existing now or developed, acquired, licensed, or made available in the future (collectively, the "Services").

By accessing, browsing, registering for, downloading, purchasing, subscribing to, creating an account, or otherwise accessing or using any part of the Services, or by clicking any button indicating acceptance of these Terms, you acknowledge that you have read, understood, and agree to be legally bound by these Terms, our Privacy Policy, and any additional terms, policies, guidelines, or documents incorporated herein by reference. Such actions constitute your valid electronic acceptance of this Agreement, have the same legal force and effect as a handwritten signature, and you expressly waive any right to challenge the enforceability of this Agreement solely because it was executed electronically.

IF YOU DO NOT AGREE TO ALL OF THESE TERMS, YOU ARE NOT AUTHORIZED TO ACCESS OR USE THE SERVICES AND MUST IMMEDIATELY CEASE ALL ACCESS TO AND USE OF THE SERVICES.

If you access or use the Services on behalf of a company, organization, or other legal entity, you represent and warrant that you possess full legal authority to bind such entity to these Terms. In such event, references to "you" and "your" shall include both you and the entity you represent, and both shall be jointly and severally responsible for compliance with these Terms.

Supplemental terms, policies, guidelines, notices, pricing schedules, service-specific terms, and any other documents published by the Company from time to time are hereby incorporated into these Terms by reference and shall form an integral part of this Agreement.

We reserve the absolute right, at our sole discretion and to the fullest extent permitted by applicable law, to modify, update, amend, replace, suspend, discontinue, or remove any provision of these Terms or any feature, functionality, integration, content, pricing model, or component of the Services at any time, with or without prior notice. Unless otherwise stated, such changes become effective immediately upon publication. Where required by applicable law, or where we determine appropriate, we may provide notice through email, in-product notifications, account dashboards, push notifications, or any other reasonable communication method. Your continued access to or use of the Services after the effective date of any revised Terms constitutes your irrevocable acceptance of the revised Terms.

We reserve the right, at any time and for any lawful reason, or where we reasonably determine that continued access may expose the Company, its affiliates, users, personnel, systems, intellectual property, reputation, business interests, or legal obligations to operational, security, financial, regulatory, or reputational risk, to refuse registration, refuse service, restrict, suspend, terminate, or permanently disable access to all or any portion of the Services, with or without notice and without liability, to the fullest extent permitted by applicable law.

The Services are controlled and operated from jurisdictions selected by the Company and are not intended for distribution to, or use by, any person or entity where such access or use would violate any applicable law, regulation, sanctions, governmental restriction, or court order, or would subject the Company to any registration, licensing, taxation, reporting, or regulatory obligation in any jurisdiction. Users who choose to access the Services from other locations do so voluntarily and are solely responsible for ensuring compliance with all applicable local, national, and international laws and regulations.

You represent and warrant that neither you nor any entity you represent is subject to sanctions or restrictions administered by the United Nations, the United States, the European Union, the United Kingdom, or any other competent governmental authority, and that you will not access or use the Services in violation of any applicable export control, trade control, anti-boycott, or economic sanctions laws.

Unless expressly stated otherwise by the Company in writing, the Services are not designed, certified, or intended for use in industries or activities subject to specific regulatory frameworks, including but not limited to healthcare, financial services, government systems, defense, critical infrastructure, or other highly regulated sectors. You agree not to use the Services in any manner that would cause the Company to become subject to regulatory obligations, audits, certifications, licensing requirements, or legal liabilities for which the Services were not designed.

The Services are intended solely for individuals who are at least eighteen (18) years of age or the age of legal majority in their jurisdiction, whichever is higher. By using the Services, you represent and warrant that you satisfy this requirement. We reserve the right, at any time and without prior notice, to request proof of age, identity, authority, or eligibility, and to suspend, restrict, or terminate any account if we reasonably believe that any eligibility requirement has not been satisfied.

Access to or use of the Services grants you only the limited, revocable, non-exclusive, non-transferable, and non-sublicensable rights expressly provided under these Terms. No ownership rights, licenses, or other intellectual property rights are transferred or assigned to you by implication, estoppel, or otherwise.

You acknowledge that you have not relied upon any representation, warranty, promise, statement, marketing material, or expectation not expressly set forth in these Terms in deciding to access or use the Services.

No delay or failure by the Company to exercise or enforce any right or provision under these Terms shall constitute a waiver of such right or provision.

These Terms, together with the Privacy Policy and all documents expressly incorporated by reference, constitute the entire agreement between you and the Company concerning the Services and supersede all prior or contemporaneous communications, negotiations, representations, understandings, and agreements, whether oral or written.

If any provision of these Terms is determined to be invalid, illegal, or unenforceable, the remaining provisions shall remain in full force and effect to the maximum extent permitted by applicable law.

2. Intellectual Property Rights

Unless otherwise indicated, the Services and all related software, source code, databases, APIs, designs, layouts, graphics, text, images, audio, video, documentation, functionality, trademarks, logos, trade names, and all other content and intellectual property made available through the Services (collectively, the "Company IP") are owned by or licensed to Suiiz Inc. and are protected by applicable intellectual property laws and international treaties.

Subject to your compliance with these Terms, Suiiz grants you a limited, revocable, non-exclusive, non-transferable, and non-sublicensable license to access and use the Services solely for their intended purpose. No ownership or other intellectual property rights are transferred to you.

Except as expressly authorized in writing by Suiiz or required by applicable law, you may not copy, reproduce, distribute, modify, create derivative works, reverse engineer, decompile, scrape, extract data, remove proprietary notices, circumvent security measures, or otherwise exploit any part of the Services or the Company IP for any commercial or unauthorized purpose.

All rights not expressly granted under these Terms are reserved by Suiiz.

Any suggestions, ideas, feedback, or recommendations you voluntarily provide regarding the Services may be used by Suiiz without restriction or compensation, and you hereby assign, to the extent permitted by law, all rights in such Feedback to Suiiz.

Suiiz reserves the right to investigate suspected infringements of its intellectual property rights and to take any action it deems appropriate, including removing content, restricting or terminating access, and pursuing any available legal or equitable remedies.

3. User Representations

By accessing or using the Services, you represent, warrant, and agree that:

1. All information you provide to Suiiz is true, accurate, current, complete, and will be kept up to date.
2. You have the legal capacity and authority to enter into and comply with these Terms. If acting on behalf of a legal entity, you are authorized to bind that entity.
3. You are at least eighteen (18) years of age or the age of legal majority in your jurisdiction, whichever is higher.
4. You are not prohibited from using the Services under any applicable law, regulation, court order, or sanctions program.
5. You will use the Services only for lawful purposes and in compliance with these Terms and all applicable laws.
6. You will not impersonate any person or entity, provide false, misleading, fraudulent, or unauthorized information, or submit Content that infringes the rights of any third party.
7. You own or have all necessary rights, licenses, permissions, and consents to use and submit any Content or information made available through the Services.
8. You will not access or use the Services through automated means, including bots, crawlers, scrapers, scripts, or AI agents, unless expressly authorized in writing by Suiiz.
9. You are solely responsible for all activities conducted through your account and for maintaining the confidentiality of your account credentials.

If Suiiz reasonably determines that any of the above representations is inaccurate, breached, or no longer valid, or that your use of the Services may expose Suiiz, its users, or any third party to legal, financial, operational, security, or reputational risk, Suiiz may, at its sole discretion and without prior notice, suspend, restrict, terminate, or permanently disable your account and access to the Services, in addition to any other rights or remedies available under these Terms or applicable law.

4. User Registration

Certain features of the Services require you to create an account. You agree to provide accurate, complete, and current registration information and to keep it updated at all times.

You are solely responsible for maintaining the confidentiality and security of your account credentials and for all activities conducted through your account, unless resulting solely from Suiiz's gross negligence or willful misconduct.

You must notify Suiiz immediately of any unauthorized access to or suspected compromise of your account. Failure to do so may result in your responsibility for any resulting losses to the extent permitted by applicable law.

Suiiz reserves the right, at its sole discretion and without liability, to refuse registration, require identity verification, suspend, restrict, reclaim, modify, or terminate any account, username, or profile that violates these Terms, infringes the rights of others, is misleading or inappropriate, or otherwise poses legal, security, operational, or reputational risks.

Suiiz may require additional identity verification or supporting documentation at any time before granting or continuing access to any part of the Services.

5. Products

The Services may enable users or Suiiz to advertise, list, offer, buy, sell, or otherwise make available products and services.

Suiiz makes reasonable efforts to ensure that product descriptions, images, specifications, pricing, and availability are accurate; however, to the fullest extent permitted by applicable law, we do not warrant that such information is complete, accurate, current, reliable, or error-free. Product images and colors may vary from the actual product due to device settings, lighting, manufacturer updates, or other factors beyond our control.

All products, listings, prices, promotions, and availability are subject to change, correction, suspension, or removal at any time without prior notice. Suiiz reserves the right to correct any errors or inaccuracies, cancel affected transactions, and issue refunds where required by applicable law.

Unless expressly identified as the seller, Suiiz acts solely as an online marketplace and is not the manufacturer, distributor, importer, exporter, reseller, or seller of products listed by users. The applicable seller is solely responsible for the accuracy, legality, quality, safety, authenticity, ownership, pricing, delivery, warranties, and regulatory compliance of any product or service offered through the Services.

Nothing in the Services guarantees the continued availability of any product, listing, price, promotion, or feature.

6. Purchases and Payment

Certain features of the Services, including Featured Ads, promotional services, Coins, subscriptions, premium features, advertising products, digital services, and other paid offerings (collectively, the "Paid Services") may require payment. By purchasing any Paid Service, you agree to pay all applicable fees, taxes, and charges, and authorize Suiiz or its authorized payment providers to charge your selected payment method.

6.1 Payment Providers

Payments may be processed through third-party payment providers. Your use of such providers is subject to their own terms and policies. Suiiz is not responsible for the availability, security, performance, or operation of third-party payment services.

6.2 Pricing and Fees

Prices, fees, subscriptions, promotions, and Paid Services may be modified, discontinued, or replaced by Suiiz at any time without prior notice. Applicable taxes and mandatory charges may be added where required by law. Suiiz reserves the right to correct pricing errors, cancel affected transactions, recover incorrect payments, or issue refunds where required by applicable law.

6.3 Featured Ads and Promotional Services

Featured Ads and promotional services are intended only to increase advertisement visibility. Suiiz does not guarantee any specific number of views, impressions, clicks, inquiries, sales, leads, rankings, or business results. Performance may depend on factors outside Suiiz's control, including user behavior, competition, location, category activity, and platform algorithms.

6.4 Coins and Digital Credits

Suiiz may offer virtual promotional credits, including "Coins," for use within the Services. Coins are digital credits only and:

• have no cash value;
• are not currency, electronic money, or a deposit;
• cannot be exchanged for cash;
• cannot be sold, transferred, traded, pledged, or assigned unless expressly permitted by Suiiz;
• remain the property of Suiiz at all times.

Suiiz may provide promotional or free Coins through campaigns, referrals, rewards, or other activities. Such Coins may have expiration dates, limitations, or additional conditions and may be modified or withdrawn at Suiiz's discretion.

6.5 Fraud Prevention and Transaction Review

Suiiz may suspend, cancel, reverse, investigate, or restrict any transaction, payment, account balance, or Paid Service where it reasonably suspects fraud, abuse, unauthorized activity, payment disputes, technical errors, money laundering, sanctions violations, or violation of these Terms. Suiiz may require identity verification or additional information before processing or restoring any transaction.

6.6 Orders and Account Responsibility

Suiiz reserves the right to refuse, limit, suspend, or cancel any purchase or order at its discretion, including where a transaction involves fraud, unusual activity, legal risk, incorrect pricing, or violation of these Terms or applicable law. You are responsible for maintaining accurate payment, billing, and account information. Failure to complete payment may result in suspension, cancellation, or termination of the applicable Paid Service.

6.7 No Guarantee of Results

Purchase of any Paid Service does not guarantee sales, leads, inquiries, engagement, ranking, advertising performance, or any specific commercial outcome. Paid Services are provided on an "as available" and "as is" basis to the maximum extent permitted by law.

6.8 Reservation of Rights

Suiiz reserves the right to modify, suspend, discontinue, replace, or terminate any Paid Service, Coin program, reward program, subscription, promotional feature, or pricing model at any time, with or without notice, to the extent permitted by applicable law.

7. User Conduct

You agree that you will not use the Services to post, upload, transmit, publish, share, or otherwise make available any Content that:

• Violates any applicable law, regulation, or third-party rights, including intellectual property, privacy, or contractual rights.
• Is false, misleading, fraudulent, deceptive, defamatory, abusive, threatening, harassing, hateful, obscene, pornographic, discriminatory, or otherwise unlawful or harmful.
• Contains personal information of another person without proper authorization or consent.
• Impersonates any person, company, or entity, or falsely represents your affiliation with any party, including Suiiz.
• Infringes copyrights, trademarks, patents, trade secrets, or any other proprietary rights unless you have all necessary rights and permissions.
• Promotes illegal activities, prohibited products or services, fraud, scams, money laundering, gambling, pyramid schemes, spam, unsolicited advertising, or unauthorized commercial solicitation.
• Contains malicious code, viruses, malware, or any material intended to disrupt, damage, or interfere with the Services or any user's systems.
• Includes unauthorized links, advertisements, third-party promotions, or commercial content not approved by Suiiz.

You further agree that you will not:

1. Harass, stalk, threaten, or repeatedly contact users who have requested not to be contacted.
2. Collect, store, or use user information for unlawful or unauthorized commercial purposes.
3. Use bots, crawlers, scrapers, data mining tools, automated posting systems, AI agents, or other automated methods to access, extract, submit, or manipulate data or Content without Suiiz's prior written authorization.
4. Attempt to gain unauthorized access to Suiiz systems, interfere with the operation of the Services, overload infrastructure, or reduce the quality, security, or availability of the Services.
5. Post duplicate, irrelevant, misleading, or unauthorized listings, including listings designed to manipulate visibility or ranking.
6. Abuse reporting, review, moderation, or community-control systems, including submitting false reports or using automated tools to manipulate such systems.
7. Use the Services to advertise, promote, or redirect users to competing platforms or unauthorized third-party services.

You are solely responsible for all Content you submit through the Services and represent that you have all necessary rights, licenses, permissions, and authorizations to provide such Content.

Suiiz reserves the right, at its sole discretion and without prior notice, to review, remove, restrict, disable access to, investigate, or report any Content that violates these Terms, applicable law, or the rights of others. Suiiz may also suspend or terminate accounts involved in violations and pursue any available legal remedies.

Any fees paid for Content, advertisements, or promotional services are non-refundable if such Content or services are removed or restricted due to a violation of these Terms.

8. Refunds Policy

All purchases of Coins, promotional credits, and digital services provided by Suiiz are final and non-refundable, except where required by applicable law.

Purchased Coins have no cash value, cannot be exchanged for money, transferred, or redeemed outside the Suiiz platform. Coins may only be used within the Suiiz application for eligible promotional features, including promoting advertisements or accessing designated services.

Suiiz gifts, promotional credits, and free Coins are provided at the Company's discretion and may not be exchanged, refunded, or converted into cash unless expressly stated otherwise by Suiiz.

9. Prohibited Activities

You may only access and use the Services for their intended purposes and in compliance with these Terms and applicable laws. Any commercial use, exploitation, or activity not expressly authorized by Suiiz is strictly prohibited.

As a user of the Services, you agree not to:

• Collect, extract, scrape, crawl, harvest, or retrieve data or Content from the Services to create or compile any database, directory, or similar collection without Suiiz's prior written permission.
• Attempt to access, obtain, or misuse another user's account information, passwords, credentials, or sensitive data.
• Circumvent, disable, interfere with, or bypass any security, access-control, or protection measures of the Services.
• Use the Services to harass, abuse, threaten, intimidate, harm, or unlawfully target any person, including Suiiz employees, agents, or users.
• Submit false reports, abuse support services, or misuse complaint, moderation, or reporting systems.
• Use the Services in violation of any applicable law, regulation, or third-party rights.
• Upload, transmit, or distribute viruses, malware, harmful code, spam, excessive repetitive content, or any material that disrupts or interferes with the operation, security, or availability of the Services.
• Use automated systems, bots, scripts, crawlers, spiders, scrapers, data-mining tools, AI agents, or similar technologies to access, copy, monitor, manipulate, or extract information from the Services without written authorization.
• Copy, modify, adapt, reverse engineer, decompile, disassemble, or attempt to discover the source code, structure, or underlying technology of the Services, except where prohibited by applicable law.
• Remove, alter, or conceal copyright notices, trademarks, proprietary markings, or other intellectual property notices.
• Impersonate any person, entity, user, or Suiiz representative, or use another person's account or identity.
• Create accounts through automated means, false information, or deceptive practices.
• Use the Services to promote competing platforms, products, or services, or exploit the Services for unauthorized commercial purposes.
• Sell, transfer, assign, or otherwise provide access to your account or profile to any third party without Suiiz's written approval.
• Use unauthorized framing, linking, embedding, or similar methods to access or display the Services.

Suiiz reserves the right, at its sole discretion and without prior notice, to investigate suspected violations, restrict access, remove Content, suspend or terminate accounts, and take any other action necessary to protect the Services, users, intellectual property, and business interests of Suiiz.

Any violation of this section may result in immediate suspension or termination of access to the Services and may subject the user to additional legal remedies available under applicable law.

10. User Generated Contributions

The Services may allow users to create, submit, upload, publish, display, transmit, or otherwise provide content, including text, images, videos, audio, comments, listings, suggestions, and other materials (collectively, "Contributions").

You acknowledge that Contributions may be visible to other users, third parties, or through third-party services, and therefore may not be considered confidential or proprietary.

By submitting any Contribution, you represent, warrant, and agree that:

• You own or have obtained all necessary rights, licenses, permissions, and consents required to submit, use, and authorize Suiiz and other users to access and use such Contribution.
• Your Contributions do not infringe any copyright, trademark, patent, trade secret, privacy, publicity, or other rights of any third party.
• Your Contributions are accurate, lawful, and not false, misleading, fraudulent, or deceptive.
• Your Contributions do not contain unauthorized advertising, spam, scams, pyramid schemes, or other prohibited promotional content.
• Your Contributions do not contain unlawful, harmful, abusive, threatening, defamatory, obscene, hateful, discriminatory, or otherwise objectionable material.
• Your Contributions do not violate any applicable law, regulation, or the rights and safety of others, including laws protecting minors and personal privacy.
• You have obtained appropriate consent from any identifiable person or entity appearing in your Contributions where required.

You retain ownership of your Contributions. However, by submitting Contributions through the Services, you grant Suiiz a worldwide, non-exclusive, royalty-free, transferable, sublicensable license to host, store, reproduce, modify, adapt, display, distribute, publish, and use such Contributions solely for operating, improving, promoting, and providing the Services.

Suiiz reserves the right, at its sole discretion and without obligation, to review, remove, restrict, modify, or disable access to any Contribution that violates these Terms, applicable law, or the rights of others. Suiiz may also suspend or terminate accounts associated with prohibited Contributions.

Any use of the Services in violation of this section may result in suspension or termination of your access to the Services and any other remedies available under applicable law.

11. Contribution License

By posting your Contributions to any part of the Site or making Contributions accessible to the Site by linking your account from the Site to any of your social networking accounts, you automatically grant, and you represent and warrant that you have the right to grant, to us an unrestricted, unlimited, irrevocable, perpetual, non-exclusive, transferable, royalty-free, fully-paid, worldwide right, and license to host, use, copy, reproduce, disclose, sell, resell, publish, broadcast, retitle, archive, store, cache, publicly perform, publicly display, reformat, translate, transmit, excerpt (in whole or in part), and distribute such Contributions (including, without limitation, your image and voice) for any purpose, commercial, advertising, or otherwise, and to prepare derivative works of, or incorporate into other works, such Contributions, and grant and authorize sublicenses of the foregoing. The use and distribution may occur in any media formats and through any media channels.

This license will apply to any form, media, or technology now known or hereafter developed, and includes our use of your name, company name, and franchise name, as applicable, and any of the trademarks, service marks, trade names, logos, and personal and commercial images you provide. You waive all moral rights in your Contributions, and you warrant that moral rights have not otherwise been asserted in your Contributions.

We do not assert any ownership over your Contributions. You retain full ownership of all of your Contributions and any intellectual property rights or other proprietary rights associated with your Contributions. We are not liable for any statements or representations in your Contributions provided by you in any area on the Site. You are solely responsible for your Contributions to the Site and you expressly agree to exonerate us from any and all responsibility and to refrain from any legal action against us regarding your Contributions.

We have the right, in our sole and absolute discretion, (1) to edit, redact, or otherwise change any Contributions; (2) to re-categorize any Contributions to place them in more appropriate locations on the Site; and (3) to pre-screen or delete any Contributions at any time and for any reason, without notice. We have no obligation to monitor your Contributions.

12. Guidelines for Reviews

The Services may allow users to submit ratings, reviews, comments, or feedback regarding products, services, sellers, or other users ("Reviews").

By submitting a Review, you represent and warrant that:

• You have personally experienced or interacted with the subject of the Review.
• Your Review is truthful, accurate, and based on your genuine experience.
• Your Review does not contain false, misleading, defamatory, abusive, hateful, discriminatory, obscene, threatening, or unlawful content.
• Your Review does not include personal information of others without proper authorization.
• You are not affiliated with a competitor or posting a Review for deceptive, manipulative, or unfair purposes.
• You are not attempting to manipulate ratings, organize review campaigns, or encourage fraudulent positive or negative Reviews.

Suiiz reserves the right, but not the obligation, to review, approve, reject, edit, restrict, or remove any Review at its sole discretion and without prior notice. Suiiz does not endorse Reviews and does not guarantee their accuracy, completeness, or reliability.

Reviews reflect the opinions of users only and do not represent the views or opinions of Suiiz, its affiliates, or partners. Suiiz shall not be responsible or liable for any Review, or for any claims, damages, losses, or disputes arising from Reviews submitted by users.

By submitting a Review, you grant Suiiz a worldwide, perpetual, non-exclusive, royalty-free, transferable, and sublicensable license to use, reproduce, modify, display, distribute, translate, and publish such Review in connection with the Services, marketing, and business operations.

13. Mobile Application License

Use License

If you access the Services through a mobile application, Suiiz grants you a limited, revocable, non-exclusive, non-transferable, and non-sublicensable license to install and use the application on devices owned or controlled by you solely for accessing and using the Services in accordance with these Terms.

You may not:

• Reverse engineer, decompile, disassemble, decrypt, or attempt to discover the source code or underlying technology of the application, except where permitted by applicable law.
• Modify, adapt, translate, create derivative works from, or otherwise alter the application.
• Remove, modify, or obscure any copyright, trademark, or proprietary notices.
• Use the application for unlawful purposes, unauthorized commercial activities, or purposes outside its intended functionality.
• Make the application available to multiple users or devices through unauthorized networks or systems.
• Use the application to develop, operate, or support any competing product, service, or software.
• Use automated tools, scripts, bots, or systems to access, extract data from, or interfere with the application or Services.
• Use Suiiz's intellectual property, interfaces, or technology to develop third-party applications, products, or services without written permission.

Apple App Store and Google Play

If you download the application through Apple App Store, Google Play, or any other authorized third-party platform ("App Distributor"), your use is also subject to the applicable terms and policies of that platform.

You acknowledge that:

• Your license to use the application is limited to use on compatible devices and in accordance with applicable platform rules.
• Suiiz is responsible for providing support and maintenance for the application as required under these Terms or applicable law. App Distributors have no obligation to provide support services.
• App Distributors are not responsible for warranties, claims, maintenance, or support obligations relating to the application, except as required under their own policies.
• You must comply with all applicable third-party agreements, including mobile network provider terms and platform requirements.
• You represent that your use of the application does not violate applicable export control laws, sanctions, or governmental restrictions.

To the extent permitted by applicable law, you acknowledge and agree that App Distributors are third-party beneficiaries of these Terms solely with respect to the mobile application license provisions and may enforce such provisions against you.

14. Social Media and Third-Party Accounts

The Services may allow you to connect your Suiiz account with third-party accounts, platforms, or services ("Third-Party Accounts"). By connecting a Third-Party Account, you authorize Suiiz to access, use, and store certain information or content made available through such account ("Third-Party Content") as permitted by the applicable third-party service provider.

You represent and warrant that you have the right and authority to provide access to any Third-Party Account and that doing so does not violate any applicable terms, agreements, or restrictions.

You acknowledge that:

• Suiiz may access, display, and store certain information from your connected Third-Party Account to provide and improve the Services.
• The availability and use of Third-Party Content may depend on the policies, settings, and availability of the applicable third-party service.
• Suiiz does not control, review, verify, or assume responsibility for any Third-Party Content, including its accuracy, legality, security, or compliance.
• Your relationship with any third-party provider is governed solely by your agreement with that provider.

You may disconnect your Third-Party Account at any time through available account settings or by contacting Suiiz. Upon disconnection, Suiiz may delete information obtained through such connection where applicable, except information required to maintain your account, comply with legal obligations, or protect legitimate business interests.

Suiiz is not responsible for any interruption, loss, limitation, or change in functionality resulting from the actions, policies, or availability of any third-party platform or service.

15. Submissions

Any questions, comments, suggestions, ideas, feedback, feature requests, or other information you provide to Suiiz regarding the Services ("Submissions") are provided on a non-confidential basis.

By submitting any Submission, you grant Suiiz a worldwide, perpetual, irrevocable, royalty-free, transferable, and sublicensable right to use, reproduce, modify, adapt, publish, distribute, display, and otherwise utilize such Submission for any lawful purpose, including improving, developing, and promoting the Services, without any obligation to provide compensation, attribution, or acknowledgment.

You represent and warrant that you own or have all necessary rights to submit such Submissions and that they do not infringe any third-party rights.

To the maximum extent permitted by law, you waive any moral rights in your Submissions and agree that Suiiz shall have no liability for the use of any Submission in accordance with these Terms.

16. Site Management

Suiiz reserves the right, but not the obligation, to manage, monitor, protect, and maintain the Services in its sole discretion. Suiiz may, without prior notice or liability:

• Monitor the Services for violations of these Terms or applicable law.
• Investigate suspected misuse, fraud, security issues, or unlawful activities.
• Remove, restrict, modify, disable, or refuse access to any Content, account, or feature that violates these Terms or may harm Suiiz, its users, or third parties.
• Take appropriate legal action, including reporting violations to competent authorities where necessary.
• Remove files, Content, or materials that create excessive technical burden or interfere with the operation, security, or performance of the Services.

Suiiz's failure to monitor or enforce any provision of these Terms shall not constitute a waiver of its rights.

If you access the Services from another jurisdiction, you acknowledge that your information may be transferred to, stored, and processed in jurisdictions that may have different data protection laws than your own.

By continuing to use the Services, you consent to such transfer, processing, and storage of your information in accordance with applicable laws and the Privacy Policy.

18. Term and Termination

These Terms remain effective while you access or use the Services.

Suiiz reserves the right, at its sole discretion and without prior notice or liability, to suspend, restrict, terminate, or refuse access to the Services, including blocking accounts, IP addresses, or removing Content, if Suiiz believes that you have violated these Terms, applicable laws, engaged in fraudulent activity, abused the Services, or created risk to Suiiz, its users, or third parties.

Suiiz may terminate or suspend your account and remove any associated Content or information at any time where permitted by law.

If Suiiz detects fraud, manipulation, abuse, or any attempt to improperly obtain Coins, rewards, promotions, or benefits, Suiiz reserves the right to cancel such benefits, refuse refunds, reverse transactions, suspend accounts, and take any necessary action. Suiiz is not required to disclose investigation methods or security measures used to detect such activities.

If your account is suspended or terminated, you may not create a new account using another identity, false information, or another person's account without Suiiz's written approval.

Suiiz reserves the right to pursue any available legal remedies, including civil, criminal, and injunctive actions, where appropriate.

19. Modifications and Interruptions

Suiiz reserves the right to modify, update, suspend, restrict, discontinue, or remove any part of the Services, features, content, pricing, or functionality at any time and without prior notice.

Suiiz does not guarantee that the Services will always be available, uninterrupted, secure, or error-free. The Services may be affected by maintenance, technical issues, system failures, updates, third-party services, or circumstances beyond Suiiz's reasonable control.

To the maximum extent permitted by law, Suiiz shall not be liable for any loss, damage, interruption, delay, or inconvenience resulting from the modification, suspension, discontinuation, or unavailability of the Services.

Nothing in these Terms obligates Suiiz to maintain, support, update, or continue providing any specific feature, service, or functionality.

20. Governing Law and Jurisdiction

These Terms and any dispute arising out of or relating to the Services shall be governed by and interpreted in accordance with the laws of the Arab Republic of Egypt, without regard to conflict of law principles.

You and Suiiz irrevocably agree that the courts of Egypt shall have exclusive jurisdiction over any dispute, claim, or legal proceeding arising from or relating to these Terms, the Services, or the relationship between you and Suiiz.

21. Dispute Resolution

Informal Resolution

Before initiating any formal legal proceeding, the parties agree to attempt to resolve any dispute, claim, or controversy arising out of or relating to these Terms or the Services through good-faith negotiations. Such negotiations shall begin upon written notice from one party to the other.

Arbitration

If the dispute cannot be resolved through informal negotiations, any dispute arising out of or relating to these Terms, including their existence, validity, interpretation, performance, or termination, shall be finally resolved by arbitration before the International Commercial Arbitration Court under the European Arbitration Chamber (ICAC), in accordance with its applicable rules. The arbitration shall be conducted as follows:

• Number of arbitrators: One (1).
• Seat and legal place of arbitration: Egypt.
• Language of arbitration: Arabic.
• Governing substantive law: Laws of the Arab Republic of Egypt.

Limitations

Any arbitration shall be conducted solely between the parties involved. To the maximum extent permitted by law:

• No arbitration may be combined with another proceeding.
• No claim may be brought as a class action or representative action.
• No party may bring a claim on behalf of the general public or other persons.

Exceptions

The arbitration requirements do not apply to disputes relating to:

• Protection, enforcement, or validity of intellectual property rights.
• Theft, piracy, unauthorized access, privacy violations, or misuse of the Services.
• Requests for urgent injunctive or equitable relief.

Such matters may be brought before the competent courts of Egypt.

22. Corrections

Suiiz reserves the right to correct, update, modify, or remove any information, including descriptions, pricing, availability, features, or other Content, where errors, inaccuracies, or omissions are identified. Suiiz may make such corrections at any time without prior notice.

23. Disclaimer

THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS TO THE MAXIMUM EXTENT PERMITTED BY LAW.

Suiiz disclaims all warranties, express or implied, including warranties of accuracy, reliability, availability, merchantability, fitness for a particular purpose, and non-infringement.

Suiiz does not guarantee that:

• The Services will always be accurate, secure, uninterrupted, or error-free.
• Content provided through the Services will be complete, reliable, or accurate.
• Products, services, listings, or information provided by users or third parties are authentic, lawful, safe, or suitable.

Suiiz is not responsible for:

• User-generated Content.
• Transactions between users.
• Third-party websites, services, products, or advertisements.
• Unauthorized access, security incidents, technical failures, viruses, or other harmful elements beyond Suiiz's reasonable control.

Users are responsible for exercising appropriate judgment and caution when interacting with other users or purchasing products and services through the platform.

24. Limitation of Liability

To the maximum extent permitted by applicable law, Suiiz, its directors, officers, employees, affiliates, partners, and agents shall not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages, including loss of profits, revenue, data, business opportunities, or goodwill arising from or related to:

• Your use or inability to use the Services.
• User Content or third-party activities.
• Errors, interruptions, or technical issues.
• Any transaction conducted through the Services.

Where liability cannot be excluded, Suiiz's total liability shall be limited to the amount paid by you to Suiiz for the specific service giving rise to the claim during the preceding twelve (12) months, to the maximum extent permitted by law.

25. Indemnification

You agree to defend, indemnify, and hold harmless Suiiz, its affiliates, directors, officers, employees, agents, partners, and representatives from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising from or related to:

• Your use of the Services.
• Your Contributions or Content.
• Your breach of these Terms.
• Your violation of any law or third-party rights.
• Your misuse of the Services.
• Any dispute between you and another user.

Suiiz reserves the right, at your expense, to assume exclusive control of the defense of any matter subject to indemnification. You agree to fully cooperate with Suiiz's defense of such claims. Suiiz will use reasonable efforts to notify you of any claim subject to this indemnification.

26. User Data

Suiiz may collect, store, process, and maintain information and data provided by you or generated through your use of the Services for operating, securing, improving, and maintaining the Services.

While Suiiz may perform reasonable backup procedures, you remain solely responsible for maintaining your own copies of any data, Content, or information submitted through the Services.

To the maximum extent permitted by law, Suiiz shall not be liable for any loss, deletion, corruption, unauthorized access, or inability to recover any data stored through the Services.

27. Electronic Communications and Signatures

By accessing or using the Services, submitting forms, creating an account, making purchases, or communicating electronically with Suiiz, you consent to receive electronic communications from Suiiz.

You agree that electronic notices, agreements, policies, disclosures, invoices, transaction records, and other communications provided electronically satisfy any legal requirement that such communications be in writing.

You expressly agree to the use of electronic signatures, electronic contracts, electronic records, and electronic transactions. To the maximum extent permitted by applicable law, you waive any requirement for physical signatures or paper-based records.

28. California Users

If you are a California resident and have a complaint that cannot be satisfactorily resolved directly with Suiiz, you may contact the applicable consumer protection authorities in accordance with California law.

29. Miscellaneous

These Terms, together with any additional policies or rules published by Suiiz, constitute the entire agreement between you and Suiiz regarding the Services.

Suiiz's failure to enforce any provision of these Terms shall not constitute a waiver of that provision or any future enforcement rights. Suiiz may assign or transfer its rights and obligations under these Terms to any affiliate, successor, purchaser, or other entity without restriction.

Suiiz shall not be responsible for delays, failures, interruptions, or damages caused by events beyond its reasonable control, including technical failures, natural disasters, governmental actions, or third-party service interruptions.

If any provision of these Terms is found invalid or unenforceable, the remaining provisions shall remain fully effective. Nothing in these Terms creates any partnership, employment, agency, joint venture, or fiduciary relationship between you and Suiiz. You agree that these Terms shall not be interpreted against Suiiz solely because they were prepared by Suiiz.

30. Free Points Rewards

Suiiz may provide promotional rewards, free points, gifts, or prizes through campaigns and loyalty programs at its sole discretion.

For the November promotional campaign, eligible rewards may include:

31. Breach of Terms

If Suiiz reasonably believes that a user has violated these Terms, applicable laws, or any instructions related to the Services, Suiiz may take any appropriate action, including:

• Temporarily suspending access to the Services.
• Permanently disabling access or preventing creation of additional accounts.
• Suspending or deleting user accounts and related Content.
• Restricting access through technical measures where appropriate.
• Reporting violations to service providers, authorities, or relevant third parties.
• Taking legal action or seeking available remedies.

Suiiz's actions under this section shall be without prejudice to any other rights or remedies available under applicable law.

32. Indemnification

You agree to indemnify, defend, and hold harmless Suiiz, its affiliates, officers, employees, agents, and partners from any losses, damages, claims, liabilities, expenses, and legal costs arising from:

• Your breach of these Terms.
• Your misuse of the Services.
• Unauthorized access or activity conducted through your account.
• Disclosure or misuse of your account credentials.
• Fraudulent, misleading, or unlawful actions.
• Violation of Suiiz's or any third party's intellectual property rights.
• Any damage caused by your negligence or misconduct.

This obligation includes reasonable legal fees and court costs and survives termination of these Terms.

33. Termination

Suiiz reserves the right, at its sole discretion and without prior notice where permitted by law, to suspend, restrict, or terminate your access to the Services for any reason, including violations of these Terms, fraud, abuse, security risks, or unlawful activity.

Termination does not affect any rights, obligations, or liabilities that arose before termination.

Upon termination, any licenses or permissions granted to you under these Terms shall immediately end, except where provisions are intended to survive termination.

34. General Provisions

These Terms are governed by the laws of the Arab Republic of Egypt. Any dispute relating to the Services or these Terms shall be subject to the jurisdiction of the competent courts of Cairo, Egypt, unless otherwise provided in the dispute resolution section.
